1、 项目投资考察报告篇一：矿业投资项目考察报告(可作模板) 中植企业集团有限公司 矿业投资项目地质专家考察报告 报告编号：2010-0002 矿山名称：安徽省濉溪县三铺铁矿 考察日期：2010年7月5日-7月6日 考察组成员：林万峰、耿书杰 王 辉、王 平、孙晓娟、白 昊 报告编写人：耿书杰一、项目简介 2010年7月5日至6日，公司一行4人进入三铺铁矿区进行了实地调查，地质技术方面主要是了解了矿山建设和周围基本情况、翻阅了1973年提交的勘探报告和2006年提交的补充勘查报告、对号矿体进行了井下实地调查、调查了解利国选矿厂（烧结厂），具体情况汇报如下： 1矿权设置情况及证照查验 矿区设有采矿权

2、，面积1.2316km2，期限2006年10月至2016年10月，批准的生产规模为10万吨/年，开采标高-50m至-150m。矿区位置已经现场核对。采矿权人为徐州市利国益民选矿烧结厂（法人与玉鑫公司三铺铁矿为同一人）。 各种证照的查验已由机构业务部完成。 2矿区自然经济地理 三铺铁矿位于安徽省濉溪县四铺乡三铺村，交通发达，地势平坦地面标高一般在27m至29m之间，电力可满足需要。 3. 矿山建设施工情况 目前矿山建有竖井两个，一主一副，提升能力可达500吨/日左右。竖井深度145m，位置靠近号矿体，已开拓中段为-90m和-116m中段。 目前主要在-116m中段施工，号矿体施工了穿脉和少量的切

3、割工程，主巷同时在向号矿体方向施工。在-116m中段向深部施工一斜井，最低标高达-140m，目的是采掘号矿体向深部延伸的部位。矿区建有办公楼一座，尚未启用。现场管理较为混乱。 二、考察区地质概况 1. 地质勘查情况 安徽325地质队于上世纪60年代发现该矿，于1973年提交了勘探报告，该矿权转到益民烧结厂后于2006年提交了补充勘查报告，共施工了59个钻孔。为了控制矿体，矿山在坑道内施工了大量的坑内钻探工程。 2. 矿区地质概况 矿区基岩主要为中、上寒武统大理岩，岩浆岩主要为闪长玢岩和石英闪长玢岩，铁矿产于与地层的接触带上，与岩浆岩关系密切，属接触交代矽卡岩型矿床。 3. 矿体特征 该矿属小型

4、铁铜矿床，共探明17个矿体。主要矿体有三个，分别是、和号矿体，占矿区资源量的90，矿石铁品位大于50。矿体倾角10-15，除铁矿体外，还存在独立的铜矿体。 其中号矿体规模最大，厚度1.8-41.8m之间，平均19.95m，平均品位在50以上，矿石量185万吨。（号矿体28万吨，矿体72万吨）。从井下对号矿体的实际观察情况看，矿体厚度较大，连续性较好，矿石品位较高。从其已经取样的分析结果看，全铁品位基本都大于50。4. 资源量情况 从报告数据看，矿区共查明（331+332+333）矿石量251万吨。其中（331+332）矿石量163万吨，（331）控制钻孔间距为50-70线距50-60孔距，（3

5、32）控制钻孔工程距80-100线距50-100孔距。号矿体实际已由坑探工程控制，这部分资源量地质可靠程度相对较高。 矿区查明 炼钢用铁矿石147万吨（TFe平均品位60.29） 炼铁用铁矿石26万吨（TFe平均品位53.43） 需选铁矿石78万吨（TFe平均品位38）。 三、采选条件 1开采技术条件 水文地质条件中等，水文地质条件不复杂，涌水量较小。工程地质条件中等，顶板较稳固。 2. 选矿厂情况 利国益民选矿厂位于徐州市铜山县利国镇，距矿山约200公里，建有一个选矿车间和一个烧结车间。选矿车间目前日处理量约为190吨，两台球磨同时开通日处理量约为400吨。采用磁选浮选工艺，铁精粉平均品位约

7、project）。这里，撰写者应该写些怎样的内容呢? 撰写者最想看到的内容就是必须写出的内容。我们从调查报告之前的报告委托者和我们的信件交流开始。在这些信件中，调查报告的委托者，比如说，购并投资者，会给我们描述一下整个项目的基本情况，以及委托者的基本意图。很可能的情况是，委托者还会就其最为关心的问题表示浓厚的兴趣和关注。我们接受了调查报告的委托，我们就必然要对委托者的这些问题进行解答或者报告。 想到这里，我们报告的第一个章的内容就有了，那就是对委托者的委托内容进行以下简要的回顾和总结，提醒委托者说，我们调查报告的主要内容就是要解答委托者的这些关注的基本问题的。在写作技巧上，这就叫做对委托者呼叫

8、问题的回应，也就是呼应。人家在项目委托之初，对着我们呼喊说，我就是要求你委托你就如此的问题进行调查和报告。在报告的第一个段落，已经完成了前三个重要步骤地我们回应委托者说，我们正是依照你的委托就如此的问题进行的报告。 请注意，这里的对委托问题的回顾和总结并非是可有可无的事情。如果委托者对我们的总结陈述存在不同的意见，或者认为我们的总结遗漏了诸多委托者委托调查的问题，那最终委托者和我们撰写者之间可能还会存在进一步的交流，纠正，甚至报告补充的过程。 在这个被称为背景部分（background）的第1节里，我们可以非常简单地用一句话表明委托问题和调查报告的目的。比如说，我们可以用这样的语句格式撰写：

9、我们某某律师事务所接受某公司的委托，对目标公司的相关状况进行调查并作出报告；报告的目的乃是委托者意图购并目标公司，或者向目标公司进行相关投资或者从事其他交易。另外，由于委托者最关心目标公司的基本性质，这里，紧接着我们可以注明目标公司的基本法律性质。比如说，该公司乃是在中华人民共和国注册并有效存续的合法公司。我们的尽职调查报告就是针对这个目标公司进行。于此，背景段落就完成了。阅读这个段落，我们可以很自然地得出这样的结论：这个段落无非是给阅读者介绍了本调查报告涉及到的委托者和委托项目，作出报告的律师事务所，和拟被尽职调查的目标公司。换言之，就是在各个主要的报告关系人之间交换了一下各自的名片，相互表

10、明了身份和在这个报告中的地位罢了。 我们的委托者此时知道了我们的身份之后，还最为关心哪个问题呢? 也就是说，紧接着的第2节，我们应当向委托者报告写怎样的内容呢? 当然是调查项目的范围内容了。委托者会关注我们就目标公司的哪些方面进行了调查并做出了报告。在这个被称之为调查范围或者评论范围（scope of investigation or review ）的第2节内容里，我们必须给出我们对目标公司调查的范围作出限定性说明。这种说明要紧紧扣住委托者的委托意图。比如说，我们可以将我们的工作范围限定在如下方面：目标公司的法律地位和相关历史；目标公司的股权结构和各个股东的一般介绍；目标公司的重大合同情况；

11、目标公司的土地使用权和其他房地产；目标公司的经营商务性资产权属和相关的法律障碍；目标公司的知识产权；目标公司的劳动雇佣情况；目标公司环境保护合法性分析；以及目标公司的重大诉讼仲裁案件。 当然，如果委托者对目标公司已经有相当的了解，而仅仅要求我们就上列范围各项中的某些子项进行尽职调查的话，我们就严格按照委托者的意图来做。而绝不能画蛇添足般地将全部的子项内容涵盖，从而增加委托者的额外的不必要的法律费用。反过来说，如果委托者并没有明确说明调查或者评论的范围，那这些项目乃是一个普通尽职调查报告所必需通常具备的内容。 事实上，单纯从写作结构上来看，给出了调查和评论的范围，我们也就给定了调查报告的核心内容

12、的结构。此后，我们的调查报告的核心部分必要严格依照这样的条目次序进行撰写。到此，报告第一章第2节完成了。 给出了评论的范围之后，我们作为法律职业者，还必须及时地向委托者说明一下评论范围的原始材料和证据基础。其实，委托者阅读到这里，就会询问一个非常简单的问题：这些调查和评论的范围是根据哪些材料和证据设定的呢？既然我们在调查报告制作过程的第一个步骤中业已向目标公司发出一份材料清单并收到了目标公司按照该清单提供的各种资料。在这个被称之为信息来源（sources of information）的第3节里，我们就是向委托者展示我们第一个步骤中索要资料的结论。 比如说，我们可以简单地结论说，这个调查报告乃

13、是基于目标公司按照我们制做的资料清单所提供的资料作出。一份详细的资料清单作为本调查报道附录1附列在本报告之后。如果委托者需要查看某项原始材料，那通过这个清单，我们就可以向其提供副本。 必需明确，由于最有可能的实际情况是，当我们拿着一份自己制作的非常完备的资料清单向目标公司索要材料时，目标公司可能根本没有某项文件，或者根据某些理由，无论是否合法，拒绝向我们提供某些资料。此时，我们在这里必要及时地向委托者做出披露。以使得委托者做到心中有数。那些文件目标公司不能提供，要在这里明确列出一个表格来。特别是那些目标公司拒绝提供的资料，我们更要提醒委托者注意。 有些报告的撰写者认为，到此为止报告的第一章第3

14、节就应该结束了。且慢，由于我们拿到的全部资料绝大部分都是复印件或者副本，原件极少，作为专业律师，必须对这些复制品的真伪问题保持高度的戒备之心。如果我们轻易认为这些复制品等同于原始文件，一旦某页资料造假，我们撰写者就会有被委托者认为违反了执业规范的可能。所以，我们在对这些资料进行了第二步骤地详细阅读和制作问题清单，以及第三步骤的实地考察发问之后，如果最大限度地剔除了文件造假的可能，或者根本无法知道文件(来自:WwW.CssY 书业 网:项目投资考察报告)是否造假，那我们此时在这里就要对委托者表明我们评论这些索取的资料的理论逻辑基础，以便引起委托者的内心关注。如果委托者之后认为某项文件乃是造假形成

15、，那由于我们事先做出了声明，一般说来，委托者自己承担这种风险的可能性大些。我们撰写者就至少在造假的主观过错方面没有过失了。 因此，接下来我们要作出至少三项执业过错的屏蔽性假定：第一，我们假定，我们所收到的来自目标公司的全部资料的复印件和原始文件的内容保持一致；第二，我们假定，在从我们收到这些文件和撰写报告的这段时间里，我们是坚持目标公司及时向我们提供后续的更新文件，而目标公司没有更新这些文件；第三，我们假定，我们在这些文件中所看到的全部的盖章签字都是这是有效的行为。事实上，当我们研究法律意见书的写作技巧时，我们也会看到，前述的假定也是法律意见书的有机组成部分，不可或缺。 此外，有些信息是根本没

16、有文献记载的，而如果我们就某些问题在目标公司实地考察发问的过程中向某些目标公司的关键人员索要到了口头解释，那这里我们也要交待几句话。说明目标公司的哪些人员在实地考察发问的步骤里接待了我们，他们解释问题的态度给我们留下了何种的印象。如果接待的人员较多，比如说超过3位，那一个非常简单的做法是，我们列出一个表格将这些人员的基本情况进行展示。这里，撰写者就体会到了本书作者要求将在实地考察发问之初交换到的名片放置在目标公司提供的文件里的原因了。这些人员的基本背景我们可以非常便利地在名片上摘抄到表格上来。只有到此为止，我们报告第一章第3节才算完成。 其实，如果深入考察，第一章第3节的内容又是我们对调查报告
